1. About these Terms
1.1 These Terms and Conditions (“Terms”) govern your use of the Listen In mobile application (the “App”). The App is provided by JDNICAPPS LEARNING SOFTWARE LTD, a private limited liability company incorporated in the Republic of Cyprus under registration number HE 484154, with its registered office at Rodou 1, Kiti, 7550 Larnaca, Cyprus (“we”, “us”, “our”).
1.2 By downloading or using the App you agree to these Terms. If you do not agree, please do not use the App.
1.3 Nothing in these Terms affects your statutory rights as a consumer under the law of the country where you live.
2. Who can use the App
The App is designed for adult learners and is suitable for users aged 16 and over. You must be at least 16 years old to use it.
3. The App
3.1 Listen In is an audio-based language learning app offering listening exercises, questions and visual activities.
3.2 The App is free to use and is funded by advertising (see section 6). If any version of the App is offered for a price, it is sold through the Apple App Store or Google Play (see section 7).
3.3 We may update, change or remove content or features to improve the App, fix problems or comply with the law. If a change materially reduces something you have paid for, we will tell you in advance where reasonably possible, and you keep any rights you have under consumer law.
4. Your progress data
Your learning progress, scores and settings are stored only on your device. We do not hold a copy. If you delete the App, reset your device or move to a new device, this data may be lost and we cannot restore it. Your device’s own backup service may keep a copy, depending on your settings.
5. Licence and intellectual property
5.1 All content in the App, including audio recordings, texts, questions, images, design, software and the Listen In name and logo, belongs to us or our licensors and is protected by copyright, trade mark and database laws.
5.2 We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the App on devices you own or control, for your own non-commercial learning.
5.3 You must not:
- copy, record, redistribute, publish or broadcast any content from the App, or use it in classes, courses or products you offer to others, without our written permission;
- reverse engineer, decompile or disassemble the App, except to the extent the law allows this despite this restriction;
- scrape, extract or harvest content or data from the App;
- sell, rent, sublicense or otherwise commercially exploit the App or its content;
- modify the App or create derivative works from it;
- manipulate the advertising in the App, or generate artificial ad views or clicks;
- use the App unlawfully or in a way that could damage the App or harm other users.
6. Advertising
6.1 The App shows advertisements supplied by third-party advertising partners, currently Google AdMob, provided by Google Ireland Limited.
6.2 We do not control and are not responsible for the content of third-party advertisements or for the products, services or websites they link to. Any dealings you have with advertisers are between you and them.
6.3 Our Privacy Policy explains how advertising uses data and how you can choose whether ads are personalised.
7. Purchases through app stores
7.1 Any payment connected with the App is made through the Apple App Store or Google Play and is governed by their terms. We do not receive or process your payment details.
7.2 Refund requests are handled by the relevant store under its refund policy. This does not limit your statutory rights.
8. Availability
We aim to keep the App working well but cannot guarantee that it will always be available or free from errors. You need a compatible device, and some features, including downloading lesson audio and advertising, need an internet connection. Your mobile provider may charge for data.
9. Our liability to you
9.1 The App is provided for private, educational use. We are not liable to you for business losses, such as loss of profit, revenue or business opportunity.
9.2 We are not liable for losses that were not reasonably foreseeable when you started using the App, or for losses caused by events outside our reasonable control.
9.3 Subject to section 9.4, our total liability for all claims relating to the App is limited to the greater of (a) the amount you paid for the App in the 12 months before the claim and (b) EUR 100.
9.4 Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for intentional or grossly negligent conduct, or for anything else that cannot be limited or excluded by law, including your rights under consumer law in relation to digital content.
10. Ending your use of the App
10.1 You may stop using the App at any time by deleting it.
10.2 We may suspend or end your licence if you seriously or repeatedly breach these Terms. Sections 5.1, 9, 12 and 13 continue to apply afterwards.
11. Changes to these Terms
We may update these Terms to reflect changes to the App, the law or our business. The “Last updated” date shows when they last changed. For material changes, we will give you notice in the App before they take effect. If you do not agree with the changes, you can stop using the App and delete it.
12. Governing law and disputes
12.1 These Terms are governed by the laws of the Republic of Cyprus.
12.2 If you are a consumer living outside Cyprus, you also keep the protection of the mandatory consumer laws of the country where you live, and you may bring proceedings either in the courts of Cyprus or in the courts of the country where you live.
12.3 If you have a problem with the App, please contact us first so that we can try to resolve it informally.
13. General
13.1 If any part of these Terms is found invalid or unenforceable, the rest of the Terms remains in effect.
13.2 We may transfer our rights and obligations under these Terms to another organisation, provided this does not reduce your rights.
13.3 If we delay in enforcing these Terms, we can still enforce them later.
13.4 These Terms, together with our Privacy Policy, are the entire agreement between you and us about the App.
14. Additional terms for Apple devices
If you downloaded the App from the Apple App Store, the following also applies:
- These Terms are between you and us only, not Apple Inc. (“Apple”). We, not Apple, are solely responsible for the App and its content.
- Your licence is limited to use on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
- Apple has no obligation to provide any maintenance or support services for the App.
- If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
- We, not Apple, are responsible for addressing any claims by you or a third party relating to the App or your use of it, including product liability claims, claims that the App fails to meet any legal or regulatory requirement, and claims under consumer protection, privacy or similar legislation.
- If a third party claims that the App, or your possession and use of it, infringes their intellectual property rights, we, not Apple, are responsible for investigating, defending, settling and discharging that claim.
- You confirm that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- You must comply with any applicable third-party terms when using the App.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and, once you accept them, Apple has the right to enforce them against you as a third-party beneficiary.
